Botswana Savings Bank (BSB or Issuer) established a BWP 1000 000 000 Note Programme (Programme) on 21 March 2022 in terms of a Programme Memorandum dated 21 March 2022 (Programme Memorandum) pursuant to which BSB may from time-to-time issue notes (Notes), which may constitute secured or unsecured Senior Notes or Subordinated Notes of any maturity. Notes issued under the Programme are to be denominated in Botswana Pula (BWP). The Programme Memorandum was updated by way of Supplementary Programme Memoranda dated 28 February 2024 and 18 March 2025. The maximum aggregate principal amount of all Notes from time to time outstanding under the Programme will not exceed BWP 1,000,000,000,
The following tranche of Notes have been issued by way of private placement under the Programme, and the BSEL has approved the listing of the Notes on, or about, 29 April 2025:
